Terms of Service

1. Acceptance of Terms

Welcome to BridgeLM ("we," "our," "us," or the "Service"). These Terms of Service ("Terms") govern your access to and use of the BridgeLM website located at bridgelm.online, including all content, features, and services offered on or through the website.

By accessing or using BridgeLM, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

2. Description of Service

BridgeLM is a flashcard creation and viewing utility designed as an extension tool for NotebookLM. The Service allows users to:

  • Create, store, and manage flashcard decks
  • Upload and organize educational content
  • Access flashcards across devices
  • Utilize premium features through paid subscriptions

BridgeLM is provided as a software-as-a-service (SaaS) platform and may be updated, modified, or discontinued at our sole discretion.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account by providing a valid email address and password. You agree to provide accurate, current, and complete information during the registration process.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password
  • Not share your account credentials with any third party
  • Immediately notify us of any unauthorized use of your account
  • Log out of your account at the end of each session

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or abusive behavior.

4. Intellectual Property Rights

4.1 Your Content

You retain all ownership rights to the flashcards, questions, answers, and other content you create or upload to the Service ("User Content"). By uploading User Content to BridgeLM, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

  • Store and display your User Content for the purpose of providing the Service to you
  • Make backup copies of your User Content for data protection purposes
  • Process your User Content as necessary to operate and improve the Service

This license terminates when you delete your User Content or close your account, except for backup copies retained for a reasonable period for disaster recovery purposes.

4.2 BridgeLM Content

All content, features, functionality, and materials provided by BridgeLM, including but not limited to text, graphics, logos, software, and design elements (collectively, "BridgeLM Content"), are owned by BridgeLM or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or BridgeLM Content without our express written permission.

5. Subscriptions and Payments

5.1 Subscription Plans

BridgeLM offers both free and paid subscription plans. Paid subscriptions provide access to premium features and are billed on a recurring basis (monthly, annually, or as otherwise specified).

5.2 Payment Processing

All payments are processed securely by our third-party payment processor, Lemon Squeezy. By subscribing to a paid plan, you authorize us to charge your selected payment method on a recurring basis until you cancel your subscription.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to premium features until the end of your current billing period. No refunds will be provided for partial billing periods.

5.4 Price Changes

We reserve the right to change our subscription prices at any time. Price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

6. Service Modification, Suspension, and Discontinuation — NO REFUND POLICY

6.1 Right to Modify or Discontinue Service

BridgeLM reserves the absolute right to modify, suspend, or permanently discontinue the Service, in whole or in part, at any time, with or without prior notice, for any reason or no reason.

This includes, but is not limited to:

  • Temporary or permanent shutdown of the entire Service
  • Removal or modification of specific features or functionality
  • Changes to subscription plans, pricing, or access levels
  • Discontinuation of support for certain devices, browsers, or platforms

6.2 NO REFUND POLICY

IN THE EVENT OF SERVICE MODIFICATION, SUSPENSION, OR PERMANENT DISCONTINUATION, NO REFUNDS (PRO-RATED OR OTHERWISE) WILL BE ISSUED FOR ANY REMAINING SUBSCRIPTION PERIOD.

By subscribing to BridgeLM, you expressly acknowledge and agree that:

  • All subscription fees are non-refundable under any circumstances, including but not limited to service shutdown, feature removal, or your dissatisfaction with the Service
  • If the Service is discontinued, you will not be entitled to any refund for the unused portion of your subscription period
  • You assume all risk associated with purchasing a subscription to a software-as-a-service platform that may be modified or discontinued at any time
  • No compensation, credit, or alternative service will be provided in the event of service discontinuation

6.3 NotebookLM Dependency

BridgeLM operates as an extension tool for NotebookLM. If NotebookLM decides to cut access for external tools or block them, we may be obligated to shut down the extension functionality of our app.

In such an event:

  • The BridgeLM browser extension may cease to function
  • You will still have access to your flashcards through the BridgeLM web viewer
  • No refunds will be provided as outlined in Section 6.2
  • We will make reasonable efforts to notify users in advance if possible

6.4 Data Export

In the event of permanent service discontinuation, we will make reasonable efforts to provide you with the ability to export your User Content for a limited period (typically 30 days) before final shutdown. However, we do not guarantee the availability of data export functionality and are not liable for any loss of data resulting from service discontinuation.

6.5 No Liability for Service Changes

You agree that BridgeLM, its owners, operators, employees, and affiliates shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, regardless of the reason or impact on your use of the Service.

7. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Violate the intellectual property rights of BridgeLM or any third party
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use automated systems (bots, scrapers) to access the Service without our permission
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Harass, abuse, or harm other users
  • Upload content that is offensive, defamatory, or violates the rights of others
  • Resell or commercially exploit the Service without our express written permission

Violation of these prohibitions may result in immediate termination of your account and legal action.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, BRIDGELM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of any content
  • Warranties that defects will be corrected

You acknowledge that your use of the Service is at your sole risk. BridgeLM does not warrant that the Service will meet your requirements or that it will be suitable for any particular purpose.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRIDGELM, ITS OWNERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or use
  • Loss of goodwill or business opportunities
  • Service interruptions or discontinuation
  • Cost of substitute services
  • Any other intangible losses

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not BridgeLM has been advised of the possibility of such damages.

IN NO EVENT SHALL BRIDGELM'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO BRIDGELM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you to the extent prohibited by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless BridgeLM, its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your User Content
  • Any harm caused to other users through your actions

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Body], except where prohibited by law. You waive your right to participate in class action lawsuits or class-wide arbitration.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BridgeLM regarding the use of the Service and supersede all prior agreements and understandings.

ACKNOWLEDGMENT

BY USING BRIDGELM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE TO THE NO REFUND POLICY IN SECTION 6 AND THE LIMITATION OF LIABILITY IN SECTION 9.
